1. Organizer and Agreement
    These Terms and Conditions (“Terms”) govern the Social Media Rebate Program (“Program”) offered by Engaged
    Industries LLC, a Missouri limited liability company with its principal place of business in Elsberry, Missouri
    (“Company”, “we”, “us”, “our”). By participating in the Program, you (“you”, “participant”, or “customer”) agree
    to be bound by these Terms and by our website Terms of Use and Privacy Policy.

If you do not agree to these Terms, do not participate in the Program.

  1. Eligibility
    Open only to natural persons who:
    Are at least 21 years of age at the time of participation.
    Legally reside in the United States, excluding California, Delaware, Hawaii, Illinois, Massachusetts, New Jersey,
    New York, and Rhode Island, where firearm suppressors cannot be lawfully shipped under our policies.
    Purchase an Eligible Product at full retail price directly from us or from an authorized reseller as specified on the
    Program page.
    The product offered in connection with this Program is a firearm suppressor (silencer) regulated under federal law
    and applicable state and local laws. Participation is limited to jurisdictions where the purchase, transfer, and
    possession of firearm suppressors is lawful, and where you can lawfully complete all required steps (including ATF
    approval and transfer through a properly licensed dealer, if applicable).
    Residents of states or localities where firearm suppressors are prohibited or cannot lawfully be possessed may not
    participate, and any purchase or rebate claim from such jurisdictions will be void.
    Employees, officers, and directors of the Company, its affiliates, subsidiaries, advertising and promotion agencies,
    and their immediate family members and household members are not eligible to participate.
    The Program is void where prohibited by law. Promotion templates for restricted products commonly use “void
    where prohibited” language plus explicit jurisdictional exclusions.
  2. Program Period
    The Program begins on 1/12/2026 at midnight CST and ends on 2/2/2026 at 11:59pm CST (“Program Period”).
    Eligible purchases must be completed during the Program Period.
    Social media posts and rebate submissions must be completed within 30 days of the Form 4 approval date (Form 3
    date for qualified dealers).
  3. Eligible Products, NFA Compliance, and Full Retail Purchase
    The Eligible Product is a firearm suppressor subject to the National Firearms Act (“NFA”) and other applicable
    federal, state, and local laws. All purchases and transfers must comply with those laws, including (where
    applicable) ATF approval, background checks, and transfer through a properly licensed federal firearms licensee
    with Special Occupational Tax (“FFL/SOT”). Industry practice for NFA promotions is to tie fulfillment to lawful
    transfer completion.

We do not sell or ship suppressors under this Program to residents of California, Delaware, Hawaii, Illinois,
Massachusetts, New Jersey, New York, or Rhode Island, or any other jurisdiction where suppressors are prohibited.
Only products specifically identified as eligible for this Program on our website or marketing materials (“Eligible
Products”) qualify.

You must pay full retail price for the Eligible Product at the time of purchase; discounted purchases,
coupon‐reduced purchases (other than standard sales tax and shipping), or purchases made with store credit may be
excluded at our discretion.
If your transfer cannot be completed due to a legal restriction, denial, change in law, or your failure to complete
required steps, your rebate eligibility will be void and any pending rebate request will be cancelled.
If you cancel or return your Eligible Product for any reason, you are no longer eligible for a rebate, and we may
cancel any pending or approved rebate related to that purchase.

  1. Rebate Tiers and Requirements
    You may earn a rebate by creating original public social media content that meets the requirements below and
    submitting it for review under Section 6. Rebate amounts are calculated on the pre‐tax purchase price of the
    Eligible Product, excluding shipping and handling, consistent with common coupon and rebate disclaimers.

5.1 Top Tier – 47% Video Rebate
Rebate amount: 47% of the Eligible Product’s pre‐tax purchase price.
Platform: YouTube, Rumble, or published article.
Content requirements:
Public video (not unlisted, private, or age‐restricted) at least 60 seconds in length.
Video must clearly show the suppressor and refer to it by name and brand.
No misleading or false statements about the product or your experience.
Technical requirements:
Video must comply with the applicable platform’s community guidelines and terms of service.
Video title or description should include our brand name and [Program hashtag, e.g., #EngagedIndustries.]
Published Article Option (Same 47% Rebate)
Platforms:
Print or digital articles in recognized firearms, outdoors, hunting, shooting sports, or gear‐focused publications (for
example, The Firearm Blog, Outdoor Life, Field & Stream, Recoil, Huntinglife, or similar outlets).
Articles on established online media platforms or blogs with a public readership that focus on firearms, outdoor
activities, or gear reviews.
Content requirements:
Article must be at least [e.g., 500] words and publicly accessible (not paywalled or behind a private login you
control).
The article must:
Identify the suppressor and Engaged Industries by name.
Describe your experience, review, or coverage of the product.
Clearly disclose that you may receive a rebate for your write‐up, to stay aligned with endorsement disclosure
guidance.

No misleading or false statements about the product or your experience.
Proof of publication:
For online publications, you must submit the direct URL to the live article.
For print publications, you must upload a clear scan or photo of the full article and provide publication name, issue,
and date (and, if available, a public URL).
Editorial independence:
We do not control editorial decisions of third‐party publishers. If your article is not accepted or published by the
outlet, you will not qualify for the 47% article rebate on that basis, but you may still qualify for another rebate tier if
you create content that meets those requirements.
5.2 Middle Tier – 30% Reddit r/NFA Rebate
Rebate amount: 30% of the Eligible Product’s pre‐tax purchase price.
Platform: Reddit, in the r/NFA subreddit (or another subreddit we may designate on the Program page if r/NFA’s
rules or availability change).
Content requirements:
Public post that includes at least one video or photo of the suppressor.
A brief description of your experience or first impressions (e.g., buying process, build quality, range use where
lawful).
Include “Engaged Industries” and [Program hashtag] in the post text.
The post must comply with the subreddit’s rules and with Reddit’s content policy.
5.3 Base Tier – 20% Social Photo Rebate
Rebate amount: 20% of the Eligible Product’s pre‐tax purchase price.
Platform: Any major social media platform that permits public posts, including but not limited to Facebook,
Instagram, X (Twitter), TikTok, or others identified on the Program page.
Content requirements:
Public post containing at least one clear photo of the suppressor (or the suppressor’s packaging, if range photos are
not feasible in your jurisdiction).
Caption must mention the product name and include [Program hashtag].
Post must comply with the platform’s terms and community guidelines.
5.4 General Content Rules
For all tiers:
You must be the creator and copyright owner of the content and have all necessary rights to include any images,
audio, or footage you upload.
You may not include content that is unlawful, hateful, harassing, defamatory, obscene, sexually explicit, or that
promotes illegal activities.
You may not depict unsafe, negligent, or unlawful use of firearms or suppressors, including any conduct prohibited
by federal, state, or local law.

You are solely responsible for complying with any applicable endorsement disclosure requirements, such as stating
that you may receive a rebate in connection with your post.

We may disqualify any post that, in our reasonable judgment, violates these rules or is inconsistent with our brand
or safety standards.

  1. How to Submit Your Rebate Request
    To request your rebate:
    Create and publish your qualifying post during the Program Period and within the time window in Section 3.
    Ensure your post is public and remains accessible for at least 30 days after submission.
    Visit our rebate submission page at [URL] and complete the online form with:
    Your full name and contact email.
    Your order number or proof of purchase for the Eligible Product.
    The direct URL link to your post (video, Reddit post, or social photo).
    Your mailing address for the rebate check.
    Submit the form within 30 days of your form approval date.
    We may require additional information or documentation (such as screenshots or proof of identity, NFA form
    approval) to verify eligibility, consistent with common promotional practices.
  2. Review, Approval, and Payment
    We will review submissions in the order received and aim to process them within 7–14 business days.
    We will verify that:
    The purchase is an Eligible Product at full retail price.
    The post link is valid, public, and meets the relevant tier requirements.
    You meet age, residency, and legal eligibility requirements (including state restrictions on suppressors).
    No prior rebate has been approved for the same purchase or post.
    We may, in our sole discretion, downgrade a submission to a lower tier if it does not fully meet the requirements of
    the claimed tier but clearly satisfies a lower tier.
    If approved, we will send you a rebate check by mail (or another method stated on the Program page, such as
    prepaid card) to the address you provided within 30 days of approval.
    If your submission is rejected, we may notify you with the reason and, if feasible, allow you to correct and resubmit
    within the Program Period.
  3. Limits, Taxes, and Misuse
    Rebate Program ends after the First 100 suppressors of the eligible model is sold.
    Rebate amounts are not transferable, may not be sold, and have no cash value except as provided in the form of the
    rebate issued.
    You are solely responsible for any taxes, duties, or other governmental charges associated with receipt of a rebate,
    including any obligations arising from NFA tax payments.

We reserve the right to refuse, cancel, or claw back any rebate if we suspect fraud, abuse, technical circumvention,
or violation of these Terms.

  1. Changes, Suspension, and Termination
    We may modify, suspend, or terminate the Program or these Terms at any time for any reason, including for fraud,
    technical issues, changes in law, changes in platform policies, or changes in firearms regulatory guidance, to the
    extent permitted by law.

Any changes will be posted on the Program page with an updated “Last Updated” date and will apply prospectively.
Rebates approved before termination will be honored in accordance with these Terms as of the date of approval,
unless prohibited by law.

  1. Social Media Platform Disclaimers
    The Program is not sponsored, endorsed, administered by, or associated with any social media platform, including
    but not limited to Meta Platforms, Inc. (Facebook and Instagram), Reddit Inc., X Corp. (Twitter), Google LLC
    (YouTube), Rumble Inc., or ByteDance Ltd. (TikTok). Social promotion templates generally recommend explicit
    separation from platforms.

By participating, you release these platforms from any claims or liability arising out of or related to the Program.
You understand that you are providing your information to us, not to any social media platform.

  1. Use of Submitted Content (UGC)
    By submitting a rebate request, you grant us a non‐exclusive, worldwide, royalty‐free, sublicensable license to use,
    reproduce, modify, adapt, publish, translate, distribute, display, and perform the content of your post, in whole or in
    part, in any media now known or later developed, for marketing, promotional, and advertising purposes, subject to
    applicable law. Guides for social media promotions often advise explicitly securing rights to reuse user‐generated
    content in marketing.

If required by law, we may ask you to sign a separate consent and release form before using your content in certain
media.

  1. Privacy
    We will collect and process personal information in connection with the Program, including your contact details,
    purchase information, and links to your social media posts. Such information will be handled in accordance with
    our Privacy Policy available at [Privacy Policy URL]. Social terms templates generally reference the organizer’s
    privacy policy to cover data use.

By participating, you consent to this collection and use of your information.

  1. Limitation of Liability
    To the maximum extent permitted by law, the Company and its affiliates, officers, directors, employees, and agents
    will not be liable for:
    Any incorrect or inaccurate information, technical failures, or human errors that affect the Program.
    Any lost, late, incomplete, invalid, unintelligible, or misdirected submissions.
    Any injury, loss, or damage of any kind arising out of or in connection with your participation in the Program or the
    receipt, use, or misuse of any rebate.
    In no event will our total liability to you in connection with the Program exceed the amount of the applicable rebate
    for your Eligible Product.
  2. Governing Law and Disputes

These Terms and the Program are governed by the laws of the State of Missouri, without regard to conflict‐of‐laws
principles. Promotion rule templates typically choose the organizer’s home state as governing law.

Any disputes arising out of or relating to the Program or these Terms will be resolved exclusively in the state or
federal courts located in Lincoln County, Missouri, and you consent to the personal jurisdiction of such courts.
Where permitted by law, you and the Company waive the right to a trial by jury and agree that any claims will be
brought in your individual capacity, not as a plaintiff or class member in any class or representative proceeding.

  1. Miscellaneous
    If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum
    extent permissible, and the remaining provisions will remain in full force and effect.
    Our failure to enforce any provision of these Terms is not a waiver of that provision.
    These Terms, together with any Program‐specific details on our website, constitute the entire agreement between
    you and us regarding the Program.
